These Terms of Service ("Terms") govern your use of the Revenaut platform and related services provided by HeyAura, Inc. (doing business as "Revenaut," "we," "us," or "our"). By using our Services, you agree to these Terms.

1. Eligibility and Accounts

  • You must be at least 16 years old to use the Services.
  • You agree to provide accurate registration details and keep them up to date.
  • You are responsible for safeguarding your account credentials.

2. Customers vs. End Users

Customers (businesses): You are responsible for how you use the Services with your end users, including compliance with all applicable laws and regulations. This includes ensuring that any recording, transcription, or use of automated agents complies with federal and state notice and consent requirements.

Outbound Communications: When using the Services for outbound communications, including ringless voicemail (RVM), outbound AI voice calls, and automated SMS, Customers bear sole responsibility for: (a) obtaining prior express written consent (PEWC) from each recipient before initiating any marketing communication, in accordance with the TCPA (47 U.S.C. Section 227) and applicable state laws; (b) ensuring that an established business relationship (EBR) alone is not relied upon as a basis for sending automated, prerecorded, or AI-generated messages, as EBR does not exempt such communications under the TCPA; and (c) verifying that all contact data was lawfully obtained with appropriate consent documentation. For transactional or informational (non-marketing) outbound messages, Customers must at minimum obtain prior express consent (PEC) from each recipient.

End Users (consumers): When you interact with a Revenaut-powered agent, your information is shared with the Customer you are communicating with. Revenaut processes this information only on behalf of the Customer and does not control the Customer's privacy practices. End Users should direct privacy-related requests to the Customer they interacted with.

3. Acceptable Use

You may not use the Services to:

  • Engage in unlawful, harmful, or fraudulent activities.
  • Interfere with or disrupt the Services.
  • Attempt unauthorized access to systems or data.
  • Deliver ringless voicemails, AI voice calls, or automated messages to any person who has not provided the required level of consent (PEWC for marketing; PEC for informational), or to any number listed on the National Do Not Call Registry or applicable state DNC registries without a valid exemption.

Outbound Campaign Requirements

If you use the Services for outbound campaigns, including ringless voicemail, AI voice calls, or automated SMS, you must comply with the following:

  • Scrub all contact lists against the National Do Not Call Registry (minimum every 31 days) and applicable state DNC registries before each campaign launch.
  • Maintain and honor an internal do-not-call list of individuals who have opted out.
  • Deliver messages only between 8:00 AM and 9:00 PM in the recipient's local time zone, or within stricter windows required by applicable state law.
  • Include a clear opt-out mechanism in every message (for example, "Reply STOP to opt out" or a callback number).
  • Honor all opt-out requests within 10 business days via any reasonable method, including but not limited to the words STOP, QUIT, END, REVOKE, OPT OUT, CANCEL, or UNSUBSCRIBE.
  • Include a disclosure at the beginning of each AI-generated voice message stating that the communication is AI-generated (for example, "This is an automated message generated using artificial intelligence on behalf of [Business Name]").
  • Display accurate, non-spoofed caller ID on all outbound communications.
  • Maintain complete consent records, including method of consent, timestamp, exact language shown, and channel-specific permissions, for a minimum of 5 years (or longer where required by state law).
  • Comply with all applicable state telemarketing laws, including registration and bonding requirements where applicable (for example, Texas SB 140, Florida FTSA, Connecticut SB 1058).
  • Not rely on the B2B exemption when contacting wireless/cell phone numbers, as TCPA wireless restrictions apply equally to business-to-business and business-to-consumer communications.

4. Fees and Payment

Certain Services may require fees. Payments are processed securely by third-party providers such as Stripe, Inc, a PCI-DSS Level 1-certified provider. Fees are non-refundable except as required by law or contract.

5. Intellectual Property

All rights in the Services, platform, software, and branding remain with Revenaut. Customers retain ownership of their own data.

6. Privacy

Use of the Services is also governed by our Privacy Policy. By using the Services, you consent to the collection and use of information as described there.

7. Disclaimers

The Services are provided "as is" without warranties of any kind. We do not guarantee uninterrupted or error-free service.

8. AI and Third-Party Services

Parts of the Services rely on third-party technologies, including hosting providers and large language models, to generate or process information in real time. While Revenaut strives for accuracy and reliability, automated responses or transcriptions may occasionally contain errors or omissions. We encourage users to review important information carefully when relying on AI-generated content.

The FCC has classified AI-generated voices as "artificial or prerecorded" under the TCPA. Accordingly, all outbound communications made using Revenaut's AI voice technology are subject to the same consent, disclosure, and opt-out requirements as traditional robocalls. Customers must ensure that their consent collection processes explicitly disclose the use of AI-generated communications to recipients.

9. Limitation of Liability

To the maximum extent permitted by law, Revenaut is not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or lost business opportunities. Revenaut's total aggregate liability for any claim relating to the Services will not exceed the greater of (i) the amounts paid by the Customer to Revenaut for the Services in the twelve (12) months preceding the event giving rise to the claim, or (ii) one hundred dollars (USD $100).

9.A. Indemnification

You agree to indemnify, defend, and hold harmless Revenaut, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, penalties, fines, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your failure to obtain required consent for outbound communications; (b) your violation of the TCPA, TSR, FCC rules, or any applicable state telemarketing or privacy law; (c) your use of contact data that was not lawfully obtained; or (d) any third-party claim resulting from your outbound campaigns conducted through the Services.

10. Termination

We may suspend or terminate access if you violate these Terms. You may stop using the Services at any time.

11. Governing Law

These Terms are governed by the laws of the United States and the state in which HeyAura, Inc. is incorporated.

12. Changes to Terms

We may update these Terms at any time. Continued use of the Services after updates means you accept the revised Terms.
